PUBLIC OFFER OF “EZTALK” SERVICE RENDERING

Public offer of “EZtalk” service rendering

Simbiotel Limited, registered at the address: 2-4, Arch.Makariu III, Capital Center, floor 9, p/o box 1065, Nicosia, Cyprus; in person of Mrs. Arta Antoniu, Director, acting pursuant to Statute, hereinafter referred to as “Simbiotel LIMITED” will conclude a contract with any physical body accepting the present Offer according to regulations of cl.12 as follows:

1. Services:

1. Pursuant to and on conditions of the present contract Simbiotel Limited shall render “Eztalk” service (hereinafter – Service) to any physical body accepting the present public offer in the order provided by cl.12 of the present contract (hereinafter-“Customer”) on prices given in Tariffs. You may get all information on prices and service on our web-site http://www.eztalk.ru.

2. The place of “EZTALK” service rendering is the territory of Germany.

2. The necessary condition of Service rendering is a Customer owning EZTALK customer application received by any means including Internet.

3. Service payment

1. The Customer pays for Services upfront in cash through entitled organizations (external payment systems).

2. Simbiotel Limited has a right to change Service tariffs unilaterally.

4. Faults

1. Simbiotel Limited is not responsible both for exploitation and workability of the customers equipment and quality of public data networks (Internet) services.

2. In case if Simbiotel Limited equipment is at fault Simbiotel Limited obliges to remove a fault as soon as possible.

5. Customer obligations

1. The customer shall use Services in accordance with the present contract and legal acts.

2. The customer has no right to make obstacles to Simbiotel Limited either using Services or in any other way.

6. Simbiotel Limited is obliged to

1. Provide Customer with a possibility of Service usage

2. Remove any faults in accordance with clause 4.

3. Provide Service quality in accordance with legal acts requirements

7. Service restrictions or termination

1. Simbiotel Limited is entitled to limit Service rendering or stop it in case if:

1. The customer has not paid for Services.

2. The customer has connected defective or not corresponding to requirements subscription equipment.

3. A limitation or termination of Services has been caused by installation, repair or maintenance of network devices or telecommunication networks.

8. Parties responsibilities

1. Simbiotel Limited is only responsible for hindrances and faults emerged on Simbiotel Limited equipment.

2. Simbiotel Limited bears no responsibility for any faults emerged in other providers networks, which are not controlled by Simbiotel Limited.

3. Parties are not liable to each other for collateral damage (including short-received profit).

4. Parties shall be exempted from responsibility for Contract non-fulfillment caused by force-majeur.

9. Term, suspension and termination of the Contract

1. The contract shall be concluded for indefinite term.

2. The customer is entitled to cancel Contract having notified Simbiotel Limited in written form.

3. Simbiotel Limited is entitled to cancel the Contract is it has been suspended pursuant to clause 7.1.2 and the causes due to which the Contract was suspended or restricted were not eliminated within a month or Parties did not manage to make an agreement on Contract conditions alteration.

10. Order of dispute settlement

1. If the customer argues the accuracy of tariffication on rendered services or has any claims to Service quality, he shall notify Simbiotel Limited not later than one month since the end of the calendar month after tariffication or service quality in which is being under dispute. Simbiotel Limited has a right to demand for claims in written form. At contestation after the mentioned period of time, claims can not be considered reasonable, services shall be considered as duly rendered.

2. Simbiotel Limited shall consider claims and sentence a verdict within 15 work days. If a verdict does not satisfy the customer or the parties do not settle the argue by negotiations it shall be settled in accordance with Cyprus legislation.

11. Closing provisions

1. Argues and discrepancies are subject to obligatory pretension settlement. If not agreed an argue shall be transferred to settlement to competent courts of Cyprus, the proper law shall be that of Cyprus.

2. Simbiotel Limited shall keep Customer information received at Contract conclusion or in the course of its fulfillment confidential and announce it to third parties only in the order provided by Cyprus Law.

12. Public offer accept

1. The accept of the present offer shall be done upon user registration on www.eztalk.ru. Conditions of the present contract are applicable exclusively to Simbiotel Limited Customers – physical bodies accepting the present offer in the order provided by the present clause.
